Read these Terms of Use ("Terms") carefully before accessing or using lucentoperations.co (the "website"), operated by Lucent Operations, LLC, a Virginia limited liability company ("Lucent," "we," "us," or "our"). The website includes interactive functions such as a client needs assessment, consultation scheduling, communication enrollment, contact forms, and optional document downloads. None of these functions are required to use the website. None of these functions will opt any website user into any marketing communications, sales cycle, or advertising strategy without their prior consent.

No Professional-Client Relationship

Access to or use of the website, including submission of any assessment, inquiry, or contact form, does not establish a consulting, advisory, or professional services relationship between a website user and Lucent. A formal engagement is established only through a fully executed written agreement between the parties.

No Guarantee of Services

Completion of a needs assessment, submission of a contact form, or scheduling of a consultation does not guarantee the availability of services or the acceptance of an engagement by Lucent.

INTELLECTUAL PROPERTY

All content on the website, including but not limited to text, graphics, logos, course descriptions and materials, assessment tools, frameworks, methodologies, and design elements, is the proprietary property of Lucent and is protected by applicable United States copyright, trademark, and intellectual property laws. Graphics not considered the property of Lucent are indicated as such with image or graphic credit associated with its use.

 

Website users are granted a limited, non-exclusive, non-transferable, revocable license to access and view website content for personal, non-commercial informational purposes only. This license does not include the right to:

GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia.

Venue

Any dispute arising out of or related to these Terms or use of the website that is not resolved informally shall be submitted to the exclusive jurisdiction of the state or federal courts located in Augusta County, Virginia. You consent to personal jurisdiction in such courts.

Informal Resolution

Before initiating any legal proceeding for any dispute or claim you may have arising out of or relating to the Services, Content, or these Terms, you and Lucent agree to an informal resolution period. You agree to contact Lucent in writing with a description of the dispute or claim, along with contact information, relevant documents, supporting information, and the proposed resolution. The sixty (60) day informal resolution period will begin after either Lucent has received written notice from you, or you have received written notice from Lucent, of a dispute. If the dispute is not resolved informally within the sixty (60) day period, the matter will be referred to the  jurisdiction of Augusta County, Virginia.

waiver

The failure of Lucent to enforce the provisions of these Terms, or to exercise any option provided herein, shall not be construed to be a waiver of such provisions nor in any way to affect the validity of these Terms or any part thereof nor the right of Lucent to enforce each and every provision thereafter.

SEVERABILITY

If any provision of these Terms is held invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect, and be deemed legally binding unless a court rules that any such provision or section is invalid or unenforceable; thus, limiting the effect of another provision or section. In such a case, the affected provision or section shall be enforced as so limited.

ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Lucent with respect to its subject matter and supersedes all prior and contemporaneous negotiations, representations, warranties, and agreements relating to such subject matter, except that these Terms shall be read in conjunction with the Privacy Policy, which remains in full force and effect.
